(Effective 2026)

Terms & Conditions

1. Definitions

Premium Smart iD Number
A category-defining Smart iD in the 123WORD format (for example, 123BANK, 123LAW, 123HOTEL).

Enhanced Rights of Use (EROU)
A time-limited, exclusive licence to use a Premium Smart iD Number within a defined country, subject to an active lease and compliance with platform rules.

Lease Term
The fixed contractual period during which Enhanced Rights of Use are granted, typically 3–5 years, as specified in the applicable agreement.

Country-Level Exclusivity
Only one entity per country may hold Enhanced Rights of Use for a specific Premium Smart iD Number at any time.

Platform Services
Smart iD landing pages, routing, AI voice and chat, hosting, analytics, SEO metadata, support, and related infrastructure.

2. Nature of Rights (Licence, Not Ownership)

Premium Smart iD Numbers are not sold and cannot be owned.

All Premium Smart iD Numbers remain the exclusive property of iDTel / iDDial.

Customers are granted exclusive Enhanced Rights of Use under a fixed-term lease agreement within their selected country for the duration of the agreed Lease Term, provided all fees remain current and platform rules are followed.

No intellectual property, numbering rights, or system ownership is transferred.

3. Exclusivity

  • Exclusivity applies per country only
  • Global or multi-country rights require separate agreements
  • The same Premium Smart iD Number may be leased to different entities in different countries

4. Allocation & Reservation

Premium Smart iD Numbers may be allocated via:

  • Sunrise period requests
  • Best-offer submissions
  • Negotiated allocation or lease agreements
  • Public or private auctions
  • Enterprise or strategic agreements

A non-refundable reservation fee may be required to secure exclusivity prior to lease commencement.

iDTel reserves the right to accept, reject, negotiate, or withdraw any allocation at its discretion.

5. Fees & Lease Structure

5.1 Monthly Lease Fee

Premium Smart iD Numbers are issued under a monthly lease.

The lease fee covers ongoing access to the Platform Services and maintenance of exclusive rights.

5.2 Included Platform Services

The lease includes:

  • Smart iD landing page
  • AI voice and chat assistant (configurable or disabled)
  • Call routing and Smart Links
  • SEO metadata and updates
  • Hosting, monitoring, and support

5.3 AI Voice Usage

AI voice usage is consumption-based and charged separately.

Current rates are published on the platform or provided at the time of purchase and may change from time to time.

5.4 Non-Payment

If lease or platform fees remain unpaid for 12 consecutive months, Enhanced Rights of Use automatically terminate and the Premium Smart iD Number returns to iDTel’s Premium Pool.

6. Transfers & Assignments

Premium Smart iD Numbers are not freely transferable.

Tier 1 Premium Smart iDs may be reassigned or transferred only with iDTel’s written approval, an applicable transfer fee, and updated agreements. Lease terms do not reset unless expressly agreed.

Local and Area Smart iDs are not transferable.

7. Inactivity

If a Premium Smart iD Number is disconnected, inactive, unused, or unpaid for a continuous period of 12 months, Enhanced Rights of Use may lapse and the number may be reassigned or re-released.

8. Acceptable Use

Premium Smart iD Numbers may not be used for:

  • Illegal activities
  • Fraud or deception
  • Spam or abusive marketing
  • Trademark infringement
  • Misrepresentation
  • Harmful or unethical business practices

Violations may result in immediate termination without refund.

9. Platform Dependency

Premium Smart iD Numbers must remain connected to the iDTel platform.

They may not be independently hosted, resold as standalone assets, or modified outside platform rules. External phone systems may be connected, but the Smart iD landing page and routing logic must remain on the platform.

10. Refund Policy

All reservation fees, lease payments, bids, and usage fees are non-refundable, except where required by applicable law, due to the exclusive and limited nature of Premium Smart iD Numbers.

11. Regulatory & Regional Variations

Local telecom or regulatory requirements may affect availability, features, or pricing. iDTel may adjust rights or rules to remain compliant.

12. Disclaimers

iDTel does not guarantee SEO rankings, call volume, customer behaviour, business outcomes, AI accuracy, or uninterrupted platform availability.

13. Limitation of Liability (ACL-Aligned)

Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies that cannot be excluded under the Australian Consumer Law or other applicable laws.

To the maximum extent permitted by law, iDTel’s total liability arising out of or in connection with a Premium Smart iD Number, the Platform Services, or these Terms (whether in contract, tort, negligence, or otherwise) is limited to the amount paid by the customer for the Smart iD lease in the one month immediately preceding the event giving rise to the claim.

iDTel is not liable for any indirect, consequential, or economic loss, including loss of profits, loss of opportunity, loss of data, or business interruption, except where such liability cannot be excluded by law.

14. Amendments

iDTel may update these Terms from time to time. Changes take effect when published and apply prospectively.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of Queensland, Australia, and the parties submit to the exclusive jurisdiction of the courts of Queensland, Australia, except where mandatory local consumer laws apply.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, the remaining provisions remain in full force and effect.
