IDTel Partner Network — Affiliate Agreement
(Effective: October 2025)
This Affiliate Agreement (“Agreement”) is entered into between IDTel (“IDTel,” “we,” “our,” or “us”) and the individual or entity registering as an affiliate (“Affiliate,” “you”).
By joining or continuing to participate in the IDTel Partner Network, you agree to be bound by this Agreement, the IDTel Privacy Policy, and the Terms of Service for IDTel.co and IDDial.com.
1. Definitions
Affiliate Account — your registration profile used to track referrals and commissions.
Qualified Referral — a new paying customer who completes a valid purchase through your unique affiliate link within the 30-day cookie window.
Commission — the monetary reward payable to you under this Agreement.
Program — the IDTel Partner Network managed through SliceWP + Supabase.
Customer — an end user purchasing IDTel or IDDial products or subscriptions.
Good Standing — an affiliate with an active account, no policy violations, and valid payment details.
2. Enrollment & Eligibility
- Must be 18 years or older and able to contract legally.
- One affiliate account per individual or legal entity.
- Applications are reviewed and may be accepted or rejected at IDTel’s sole discretion.
- Self-referrals and duplicate or fraudulent accounts are prohibited.
3. Tracking & Attribution
- Referrals are tracked using cookies and referral IDs for 30 days.
- The last valid affiliate prior to purchase receives the commission.
- Tracking relies on third-party technologies; IDTel is not responsible for blocked cookies or privacy tools that prevent attribution.
4. Commission Rates & Duration
4.1 Structure (Cascading Model)
Each level earns a percentage of the referring affiliate’s commission, not the total sale:

Percentages are calculated automatically through SliceWP.
4.2 Recurring Term
Commissions recur monthly for up to twelve (12) months from each customer’s initial paid order, provided the customer remains active and the Affiliate remains in good standing.
After 12 months, commissions on that referral cease automatically unless extended in writing.
4.3 Payouts
- Paid monthly via PayPal once approved balance ≥ AUD $100.
- 30-day hold for refunds and chargebacks.
- IDTel may offset overpayments or invalid transactions.
- Currency = AUD unless stated otherwise.
5. Affiliate Responsibilities
You agree to:
- Promote IDTel and IDDial truthfully and in good faith.
- Comply with Australian and International Consumer Law, spam laws, and FTC/ACCC disclosure rules (clearly identify affiliate links as “#ad” or “partner link”).
- Use only approved branding, logos, and marketing materials.
- Keep login and payment details secure.
- Maintain accurate tax and contact information.
- Avoid content or channels involving adult material, hate speech, gambling, or illegal activity.
Failure to comply may result in suspension or termination.
6. Prohibited Conduct (Applies to IDTel.co & IDDial.com)
- Misrepresentation or false claims about pricing, functionality, or income potential.
- Domain or ad registration using “IDTel,” “IDDial,” or confusingly similar variants.
- Spam or unsolicited bulk messaging.
- Paid search bidding on brand keywords.
- Unauthorized coupons, cash-backs, or rebate schemes.
- Self-referrals, fraudulent clicks, or fake accounts.
- Misuse of AI-generated content that misrepresents either brand.
- Automated traffic bots or click-generation tools.
Violations may result in forfeiture of commissions and permanent removal.
7. Marketing Materials & Brand Use
You may display approved IDTel and IDDial logos, text, and images solely for the purpose of promoting our services.
You may not modify, sell, or distribute brand assets without written consent.
All intellectual property remains the exclusive property of IDTel Pty Ltd.
8. Data Protection & Privacy
You must not collect, store, or process any customer personal data beyond what the affiliate platform provides.
You agree to comply with the Australian Privacy Act 1988 (Cth), GDPR, and any equivalent local regulations.
9. Payments, Refunds & Chargebacks
Commissions are earned only on completed, non-refunded transactions.
If a sale is refunded, disputed, or reversed, related commissions will be deducted from future payouts.
If a customer upgrades or downgrades a plan, commissions are recalculated accordingly.
10. Inactive Accounts
Accounts showing no new referrals or logins for six (6) months may be marked inactive.
Balances under AUD $50 after twelve (12) months of inactivity may be forfeited following 30-day written notice.
11. Audit Rights & Fraud Prevention
IDTel reserves the right to audit affiliate traffic sources and promotional methods.
Suspected fraud, manipulation, or violation may result in suspension pending investigation.
You agree to cooperate and provide reasonable information on request.
12. Program Changes
We may revise commission rates, payout methods, or qualifying products at any time.
Material changes will be announced with at least 14 days’ notice via email or dashboard.
Continued participation after notice constitutes acceptance.
13. Termination
Either party may terminate participation at any time by written notice.
Upon termination:
- Approved commissions will be paid in the next payout cycle.
- Pending or disputed commissions may be withheld for investigation.
- You must cease representing yourself as an IDTel affiliate.
14. Ownership Change, Sale, or IPO
If IDTel or IDDial merges, is acquired, sold, or publicly listed:
- The Program may be modified or discontinued by the successor entity.
- If discontinued, affiliates will continue receiving commissions on existing active referrals for six (6) months following completion of the transaction (“Transition Period”).
- Commissions do not constitute equity or vested rights.
15. Confidentiality & Non-Disparagement
Information shared through the Program—marketing data, performance reports, or upcoming releases—must remain confidential.
You agree not to publish statements or engage in conduct that could reasonably harm the reputation of IDTel or IDDial.
16. Limitation of Liability
To the maximum extent permitted by law:
- IDTel is not liable for indirect, incidental, or consequential losses.
- Aggregate liability shall not exceed commissions paid to you in the preceding 12 months.
- The Program is provided “as is” without warranty of merchantability or fitness for purpose.
17. Force Majeure
Neither party shall be liable for delays or failure to perform due to events beyond reasonable control (including natural disasters, war, internet outages, or government restrictions).
18. International Affiliates & Compliance
The IDTel Partner Network is open to affiliates worldwide. While this Agreement is governed by the laws of Queensland, Australia, each Affiliate is solely responsible for complying with all laws, regulations, and tax obligations in their own country of residence or operation.
This includes (without limitation) requirements relating to advertising disclosures, income reporting, digital-marketing standards, privacy and data-protection, and foreign-exchange controls.
All commissions are calculated and paid in Australian dollars (AUD) unless otherwise stated. Currency-conversion charges or international transfer fees are the responsibility of the Affiliate.
Nothing in this Agreement limits any mandatory consumer-protection or marketing-compliance rights that apply under the laws of your own country.
19. Governing Law & Dispute Resolution
This Agreement is governed by the laws of Queensland, Australia.
Parties shall first attempt good-faith mediation in Queensland before proceeding to binding arbitration under Australian Disputes Centre rules.
20. Entire Agreement & Assignment
This Agreement constitutes the entire understanding between the parties and supersedes prior communications.
IDTel may assign or novate this Agreement to a successor entity without notice.
If any provision is held invalid, the remainder shall remain in full force and effect.
Clauses on confidentiality, intellectual property, limitation of liability, and governing law survive termination.
21. Acceptance
By registering as an affiliate or continuing participation in the IDTel Partner Network, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
