IDTel Partner Network — Affiliate Agreement

(Effective January 2026)

This Affiliate Agreement (“Agreement”) is entered into between IDTEL GROUP PTY LTD (ABN 69 693 776 966) (“IDTel,” “we,” “our,” or “us”) and the individual or entity registering as an affiliate (“Affiliate,” “you”).

By joining or continuing to participate in the IDTel Partner Network, you agree to be bound by this Agreement, the IDTel Privacy Policy, and the Terms & Conditions for IDTel.co and IDDial.com.


1. Definitions

Affiliate Account — Your registered account used to track referrals and commissions.
Qualified Referral — A new paying customer who completes a valid purchase through your unique affiliate link within the 30-day cookie window.
Commission — The monetary reward payable under this Agreement.
Program — The IDTel Partner Network, operated via SliceWP and Supabase.
Customer — An end user purchasing IDTel or IDDial products, subscriptions, or leases.
Good Standing — An Affiliate with an active account, no policy violations, and valid payment details.
Smart iD Number — A Smart iD identifier (sometimes referred to as a vanity number) issued or managed through the IDTel platform.

Eligible Products
Affiliate commissions apply only to Smart iD Numbers that are available for purchase online at a fixed price through IDTel’s self-service checkout.

Smart iD Numbers that require private negotiation, auction, or manual allocation are excluded from the affiliate program unless otherwise stated in writing by IDDial.


2. Enrollment & Eligibility

  • You must be at least 18 years old and legally able to enter contracts
  • One Affiliate account per individual or legal entity
  • Applications are reviewed and may be accepted or rejected at IDTel’s sole discretion
  • Self-referrals, duplicate accounts, or fraudulent registrations are prohibited

3. Tracking & Attribution

  • Referrals are tracked using cookies and referral IDs for 30 days
  • The last valid Affiliate prior to purchase receives the commission
  • Tracking relies on third-party technologies; IDTel is not responsible for blocked cookies, privacy tools, or attribution failures beyond its control

4. Commission Rates & Duration

4.1 Commission Structure (Cascading Model)

Each level earns a percentage of the referring affiliate’s commission, not the total sale amount. Self-service checkout items only.

Percentages are calculated automatically through SliceWP.

Total commissions paid across all levels will never exceed the commission allocated to the Direct Affiliate for that transaction.


4.2 Recurring Term

Commissions recur monthly for up to twelve (12) months from a Customer’s initial paid order, provided:

  • The Customer remains active, and
  • The Affiliate remains in good standing

After 12 months, commissions on that referral cease automatically unless extended in writing.


4.3 Payouts

  • Paid monthly via PayPal
  • Minimum payout threshold: AUD $100
  • 30-day hold applies for refunds and chargebacks
  • IDTel may offset overpayments or invalid transactions
  • Currency: AUD, unless stated otherwise

5. Affiliate Responsibilities

You agree to:

  • Promote IDTel and IDDial truthfully and in good faith
  • Comply with Australian and international consumer laws, spam laws, and advertising disclosure rules (including FTC and ACCC requirements)
  • Clearly disclose affiliate relationships (e.g. “#ad” or “partner link”)
  • Use only approved branding and marketing materials
  • Maintain accurate payment, tax, and contact details
  • Avoid channels involving adult content, hate speech, gambling, or illegal activity

Failure to comply may result in suspension or termination.


6. Prohibited Conduct

The following are strictly prohibited:

  • False or misleading claims about pricing, income potential, or functionality
  • Registering domains or ads using “IDTel,” “IDDial,” or confusingly similar terms
  • Spam or unsolicited bulk messaging
  • Paid search bidding on brand keywords
  • Unauthorized coupons, cashback, or rebate schemes
  • Self-referrals, fraudulent clicks, or fake accounts
  • Automated traffic bots or click-generation tools
  • Misuse of AI-generated content that misrepresents IDTel or IDDial

Violations may result in forfeiture of commissions and permanent removal from the Program.


7. Marketing Materials & Brand Use

You may display approved IDTel and IDDial branding solely to promote the services.

You may not modify, sell, sublicense, or distribute brand assets without written consent.

All intellectual property, including IDTel™, IDDial™, Smart iD™, and related systems, remains the exclusive property of IDTEL GROUP PTY LTD (ABN 69 693 776 966). Certain platform features are subject to patent applications or issued patents.


8. Data Protection & Privacy

You must not collect, store, or process customer personal data beyond what is provided through the affiliate platform.

You agree to comply with the Australian Privacy Act 1988 (Cth), GDPR, and equivalent local regulations.


9. Payments, Refunds & Chargebacks

  • Commissions are earned only on completed, non-refunded transactions
  • Refunded, disputed, or reversed sales will result in commission reversal
  • Upgrades or downgrades may result in commission recalculation

10. Inactive Accounts

  • Accounts with no referrals or logins for 6 months may be marked inactive
  • Balances under AUD $50 after 12 months of inactivity may be forfeited following 30 days’ written notice

11. Audit Rights & Fraud Prevention

IDTel may audit affiliate traffic sources and promotional methods.

Suspected fraud or manipulation may result in suspension pending investigation. You agree to provide reasonable cooperation on request.


12. Program Changes

IDTel may revise commission rates, payout methods, or qualifying products.

Material changes will be communicated with at least 14 days’ notice via email or dashboard. Continued participation constitutes acceptance.


13. Termination

Either party may terminate participation at any time by written notice.

Upon termination:

  • Approved commissions will be paid in the next payout cycle
  • Pending or disputed commissions may be withheld
  • You must cease representing yourself as an IDTel affiliate

14. Ownership Change, Sale, or IPO

If IDTel or IDDial merges, is acquired, sold, or publicly listed:

  • The Program may be modified or discontinued by the successor entity
  • If discontinued, commissions on existing active referrals will continue for six (6) months (“Transition Period”)
  • Commissions do not constitute equity or vested rights

15. Confidentiality & Non-Disparagement

Program information, performance data, and non-public materials are confidential.

You agree not to knowingly publish false or misleading statements, or engage in conduct that could reasonably and unjustifiably harm the reputation of IDTel or IDDial.


16. Limitation of Liability

Nothing in this Agreement excludes, restricts, or modifies rights that cannot be excluded under applicable law, including the Australian Consumer Law.

To the maximum extent permitted by law:

  • IDTel is not liable for indirect, incidental, or consequential losses
  • Aggregate liability is limited to commissions paid to you in the 12 months preceding the claim

The Program is provided “as is” and “as available,” except where required by law.


17. Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, internet outages, or government actions.


18. International Affiliates & Compliance

The Program is open globally. Affiliates are solely responsible for compliance with local laws, advertising standards, tax obligations, income reporting, and foreign-exchange rules.

All commissions are calculated and paid in AUD unless stated otherwise. Currency conversion and transfer fees are the Affiliate’s responsibility.

Nothing in this Agreement limits mandatory consumer-protection or marketing-compliance rights in your country.


19. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Queensland, Australia.

The parties will attempt good-faith mediation in Queensland before commencing binding arbitration under Australian Disputes Centre rules.

Nothing prevents either party from seeking injunctive or equitable relief where appropriate.


20. Entire Agreement & Assignment

This Agreement constitutes the entire understanding between the parties and supersedes prior communications.

IDTel may assign or novate this Agreement to a successor entity.

If any provision is held invalid, the remainder remains in full force and effect. Clauses relating to confidentiality, intellectual property, liability, and governing law survive termination.


21. Acceptance

By registering as an Affiliate or continuing participation in the IDTel Partner Network, you confirm that you have read, understood, and agree to be bound by this Agreement.
